Terms of Service

1. Introduction
These Terms of Service (“Terms”) govern your purchase, installation, and use of InstitutionKit โ a self-hosted WordPress school management ERP plugin (“the Software”) โ developed and licensed by Kashif Mukhtar (“Licensor,” “we,” “our,” or “us”).
By purchasing, downloading, installing, or using InstitutionKit, you (“Licensee,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, do not install or use the Software.
2. Definitions

3. License Grant
3.1 Nature of License
Upon successful payment, Licensor grants Licensee a non-exclusive, non-transferable, worldwide, perpetual license to install and use the Software on the number of domains and campuses corresponding to the purchased plan:

3.2 What the License Allows
- Install the Software on your own WordPress server
- Use all features included in your purchased plan
- Modify the Software’s source code for your own internal use
- Receive updates and support during the active license period
- Transfer the license to another domain you own (requires license reset โ contact support)
3.3 What the License Prohibits
- Redistributing, reselling, sublicensing, or leasing the Software to third parties
- Using the Software on more domains or campuses than your plan permits
- Removing or modifying copyright notices, attribution, or license verification mechanisms
- Using the Software to build a competing product
- Publishing the Software’s source code publicly or sharing license keys
4. Payment Terms
4.1 Pricing
All prices are listed on the InstitutionKit website and are subject to change. Price changes do not affect previously purchased licenses.
4.2 One-Time Payment
The Software is sold as a one-time purchase. Payment is due in full before the license key is issued.
4.3 Annual Renewal (Optional)
After the first year, an optional annual renewal fee applies to continue receiving:
- Software updates and new features
- Security patches and vulnerability fixes
- Priority email support (Professional and Enterprise)
- Phone support (Enterprise only)
- License key revalidation (removes the API Key reminder overlay)
The renewal fee varies by plan and is displayed on the pricing page. Failure to renew does not disable the Software โ it continues to function indefinitely with all features intact. An API Key reminder overlay will appear on each admin page click until the license is renewed.
4.4 Refund Policy
Due to the digital nature of the Software and the fact that full source code is delivered upon purchase:
- Refund requests must be submitted within 7 days of purchase
- Refunds are evaluated on a case-by-case basis
- Refunds will not be granted if the Software has been installed and is functioning as described
- No refunds are available for annual renewal payments
- Chargebacks or payment disputes filed without prior communication will result in immediate license suspension

5. Software Updates
5.1 Update Eligibility
Licensees with an active license (purchased or renewed within the last 12 months) are entitled to:
- All minor and major Software updates
- Security patches
- New features released during the active period
5.2 Update Delivery
Updates are delivered through the standard WordPress plugin update mechanism or via manual download from the InstitutionKit website.
5.3 Post-Expiry
After the license period expires without renewal, you retain the last version you received. You may continue using it indefinitely. Future updates will not be delivered until the license is renewed.
6. Support Services
6.1 Support Scope
Support covers:
- Installation assistance
- Configuration guidance
- Bug reporting and troubleshooting
- Questions about Software functionality
6.2 Support Limitations
Support does not cover:
- WordPress core issues unrelated to the Software
- Third-party plugin conflicts
- Server configuration or hosting issues
- Custom development or feature requests (available as a separate service)
- Training or onboarding (available as a separate service)

7. Intellectual Property
7.1 Ownership
Licensor retains all right, title, and interest in and to the Software, including:
- All source code, object code, and documentation
- All copyrights, patents, trademarks, and trade secrets
- All modifications, enhancements, and derivative works
7.2 Your Modifications
Any modifications you make to the Software’s source code remain your property for internal use. However, you may not distribute, sell, or license those modifications to third parties. Modifications do not grant you any ownership rights in the original Software.
7.3 Feedback
Any suggestions, ideas, or feedback you provide about the Software may be used by Licensor without restriction or compensation.
8. Warranty Disclaimer
THE SOFTWARE IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability
- Fitness for a particular purpose
- Non-infringement of third-party rights
- That the Software will be error-free or uninterrupted
- That defects will be corrected
You are solely responsible for:
- Determining whether the Software meets your requirements
- Testing the Software before deployment in a production environment
- Maintaining backups of your data
- Ensuring your server environment meets the published system requirements
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- Licensor’s total liability for any claim arising from or related to these Terms or the Software shall not exceed the amount you paid for the Software license
- Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Licensor shall not be liable for loss of data, loss of revenue, business interruption, or reputational harm
These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability) even if Licensor has been advised of the possibility of such damages.
10. Indemnification
You agree to indemnify, defend, and hold harmless Licensor from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from:
- Your use of the Software
- Your violation of these Terms
- Your violation of any third-party rights
- Any data breaches or security incidents originating from your server or hosting environment
11. Termination
11.1 By Licensee
You may terminate this agreement at any time by:
- Removing the Software from your server
- Destroying all copies of the Software in your possession
No refunds will be issued upon voluntary termination.
11.2 By Licensor
Licensor may terminate this agreement with written notice if you:
- Violate any material term of these Terms
- Use the Software beyond the scope of your purchased license
- Share or publish your license key publicly
- Use the Software for illegal purposes
Upon termination:
- You must immediately cease using the Software
- You must remove the Software from all servers
- You must destroy all copies of the Software
- No refunds will be issued
11.3 Survival
Sections covering Intellectual Property, Warranty Disclaimer, Limitation of Liability, Indemnification, and Governing Law survive termination.
12. Data and Privacy
12.1 Your Data
InstitutionKit is self-hosted software. All data entered into the Software resides on your server. Licensor has no access to:
- Student records
- Staff information
- Financial data
- Attendance and grade records
- Any other operational data
12.2 License Verification
The Software periodically communicates with Licensor’s license server to validate your license key and domain. This communication:
- Transmits only your license key, domain name, and Software version
- Is encrypted via HTTPS
- Does not include any operational, student, staff, or financial data
12.3 Privacy Policy
Our handling of personal data collected through our website and license verification is governed by our Privacy Policy, available at institutionkit.com.
13. Third-Party Components
The Software may include third-party libraries and components (such as Dompdf for PDF generation, Chart.js for charts, and Font Awesome for icons). These components are subject to their own licenses, which are included in the Software distribution. Licensor makes no warranties regarding third-party components.
14. System Requirements
You are responsible for ensuring your server meets the published system requirements:

Failure to meet these requirements may result in performance issues, errors, or inability to use certain features. Such issues are not covered by warranty.
15. Force Majeure
Licensor shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government orders, internet infrastructure failures, power outages, or pandemic-related disruptions.
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan.
16.2 Dispute Resolution
Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails within 30 days, the dispute shall be resolved through:
- Arbitration in Lahore, Pakistan, under the Arbitration Act 1940
- The arbitration shall be conducted in English
- The arbitrator’s decision shall be final and binding
16.3 Jurisdiction
If arbitration is not applicable, the courts of Lahore, Pakistan shall have exclusive jurisdiction.
17. Export Compliance
The Software may be subject to export control laws of various jurisdictions. You agree to comply with all applicable export and re-export restrictions. You represent that you are not located in a country subject to embargo or trade sanctions.
18. General Provisions
18.1 Entire Agreement
These Terms constitute the entire agreement between you and Licensor regarding the Software and supersede all prior agreements, understandings, and communications.
18.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
18.3 No Waiver
Failure by Licensor to enforce any provision of these Terms shall not constitute a waiver of that provision or the right to enforce it later.
18.4 Assignment
You may not assign or transfer these Terms or your license without prior written consent from Licensor. Licensor may assign these Terms to a successor in interest.
18.5 Notices
All notices under these Terms shall be sent via email:
- To Licensor: [email protected]
- To Licensee: The email address provided at the time of purchase
Notices are effective upon sending (if no delivery failure notice is received).
18.6 Amendments
Licensor reserves the right to modify these Terms at any time. Material changes will be communicated via:
- Notice on the InstitutionKit website
- Email to active license holders
Continued use of the Software after changes constitutes acceptance of the updated Terms.
